Please read these Terms and Conditions (“Agreement”, “Terms and Conditions”) carefully before using www.SpanishVirtually.com (“the Site”) operated by Spanish Virtually (“us”, “we”, or “our”). This Agreement sets forth the legally binding terms and conditions for your use of the Site at www.SpanishVirtually.com.

By accessing or using the Site in any manner, including, but not limited to, visiting or browsing the Site or contributing content or other materials to the Site, you agree to be bound by these Terms and Conditions. Capitalized terms are defined in this Agreement.

Use of the Site

Conduct:

By making use of SpanishVirtually.com and any of its affiliate websites and services, you agree to conduct yourself in a lawful and appropriate manner. We do not actively monitor your reviews, and we are not responsible to any member for any unlawful or inappropriate conduct of other members. However, we reserve the right to cancel your membership immediately once we determine that your conduct is or has been unlawful or inappropriate. You may not do any of the following, either directly or indirectly by encouraging others to do so:

1. Sexually exploit or solicit minor children under the age of 18 even if they falsely attest to being 18 years of age or older;

2. Discriminate against other members on the basis of race, gender, age, sexual orientation, national origin, religious preference;

3. Offend, harass, stalk, abuse or threaten other members;

4. Transmit any content that we consider in our sole discretion to be vulgar, offensive, obscene, pornographic, hateful, threatening, profane, lewd, lascivious, violent, false, misleading, defamatory, libelous or otherwise objectionable;

5. Promote illegal conduct or activities (including but not limited to obscenity, defamation, harassment, abuse, threats, piracy, hate crimes, or terrorism);

6. Provide instruction on conducting unlawful activities or provide links to such instruction;

7.Infringe on the intellectual property rights of others;

8. Impersonate any other person, including a representative of Spanish Virtually;

9. Violate the laws and regulations of the United States and the State of New York.

Account Registration

You must register with Spanish Virtually to use this service. In addition to this paid service, we may periodically offer additional services as a membership incentive. Please note, these offers are subject to the same terms and conditions outlined in this Agreement. In addition, where payment is provided for the service, the following terms and conditions apply.
Payment Information

Spanish Virtually processes payments through PayPal. Spanish Virtually is committed to the security of your personal information. Please review PayPal’s Terms of Use and Privacy Policy for information on how PayPal processes transactions.

Spanish Virtually and it’s Contractors currently use Skype as its primary video conferencing service. All participants involved with Spanish Virtually should familiarize themselves with their Terms of Use.

Termination

We may terminate your access to the Site, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Our Site may contain links to third-party sites that are not owned or controlled by Spanish Virtually.

Spanish Virtually has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party site that you visit.

Contributing Content

Any advice, opinion, statement or information posted to the site is solely that of the posting member. Spanish Virtually does not endorse such postings, or guarantee the accuracy thereof, and we are not responsible for any loss or damage resulting from your reliance thereon.

You may not post content that is or may be considered to be inaccurate, misleading, threatening, abusive, defamatory, offensive, obscene, harassing, or illegal, or violate the rights and/or safety of other members. We are not responsible for any content that violates this Agreement; however, we reserve the right to delete any content that violates this Agreement or the rights of any member, without notice. Further, we reserve the right to cancel your membership upon discovery of such content.

Intellectual Property

The Site and its original content, features and functionality are owned by Spanish Virtually and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. Spanish Virtually owns all intellectual property and proprietary rights in the contents of SpanishVirtually.com. Unless we grant you written permission, or use information that is in the public domain, you may not use, copy, modify, distribute, transmit or sell any of the proprietary information contained on the site. You may not post content to the site if you do not own or hold a license to use that content. Content includes, but is not limited to: photographs, prints, statements, advertisements, instant messages, graphics, videos, and video chats. When you post content to the site, you grant Spanish Virtually and its affiliates a non-exclusive, perpetual, worldwide, irrevocable, assignable, fully paid and royalty-free license to use, copy, reproduce, transmit, publish, display, and distribute this content in any and all media or distribution methods without any further consent, notice and/or compensation to you or to any third parties. You represent and warrant that you have the authority to grant us such license, and you represent and warrant that the use of this content will not infringe on the rights of any third party.
You may not use Spanish Virtually or any of its affiliate websites and services to advertise any goods or services, and you may not solicit funds, or post any material containing such advertisements or solicitations.

You may not cause harm to this website or its users by uploading any virus or malicious software.

Governing Law

This Agreement (and any further rules, policies, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of New York, United States, without giving effect to any principles of conflicts of law.

Changes To This Agreement

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms and Conditions.
